Terms of Service

These Terms of Service ("Terms") govern your access to and use of Space Worm Analytics ("Space Worm," "we," "us," or "our"), a SaaS metrics dashboard service available at spaceworm.io (the "Service"). Please read these Terms carefully before using the Service.

By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

1. Description of Service

Space Worm Analytics is a SaaS metrics dashboard that helps founders and teams track key business metrics. The Service connects to payment providers (such as Stripe) to sync transaction and subscription data, then generates analytics including but not limited to:

• Monthly Recurring Revenue (MRR), Annual Recurring Revenue (ARR), and related revenue metrics
• Customer churn rates, retention analysis, and cohort analysis
• Customer segmentation and growth insights
• Revenue forecasting and projections
• Goal tracking and scheduled reports

The specific features available to you depend on your subscription plan. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

2. Account Registration

To use the Service, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your login credentials secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

You may not create multiple accounts for the same individual. We reserve the right to suspend or terminate accounts that violate these Terms.

3. Subscription Plans and Billing

Available Plans

Space Worm Analytics offers three subscription tiers:

Free Trial

New users receive a 14-day free trial of the Pro plan. No credit card is required to start the trial. At the end of the trial period, your account will automatically transition to the Free plan unless you subscribe to a paid plan.

Billing and Renewal

Paid subscriptions are billed in advance on a monthly or annual basis, depending on the billing cycle you select. Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. All payments are processed through Stripe.

Refund Policy

Monthly subscriptions are non-refundable. For annual subscriptions, you may request a full refund within 14 days of your initial purchase. After 14 days, annual subscriptions are non-refundable but you may continue to use the Service until the end of your current billing period. Price Changes

We may change our subscription prices from time to time. Price changes will not apply to your current billing period. We will provide at least 30 days' notice before any price increase takes effect. If you do not agree to the new pricing, you may cancel your subscription before the price change takes effect.

4. Usage Limits

Each plan includes specific usage limits. Exceeding these limits may require upgrading to a higher-tier plan:

We will notify you when you approach usage limits. If your tracked MRR exceeds the cap for your plan, you will be prompted to upgrade. We will not delete your existing data if you exceed a limit, but certain features may become restricted until you upgrade or reduce usage.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property or privacy rights of others
• Attempt to gain unauthorized access to the Service, other accounts, or related systems
• Reverse engineer, decompile, or disassemble any part of the Service
• Scrape, crawl, or use automated tools to extract data from the Service beyond what is provided through our official export features or API
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Upload or transmit viruses, malware, or other harmful code
• Use the Service to compete directly with Space Worm Analytics
• Resell, sublicense, or redistribute access to the Service without our written consent

Violation of these terms may result in immediate suspension or termination of your account.

6. Intellectual Property

The Service, including all software, design, text, graphics, logos, and other content (collectively "Space Worm Content"), is owned by Space Worm Analytics and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on Space Worm Content without our prior written consent.

The Space Worm name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Space Worm Analytics.

7. Data Ownership and Portability

You retain full ownership of your data. All business data synced from your payment providers (customer records, transactions, revenue metrics) remains your property. We claim no intellectual property rights over your data.

You grant us a limited, non-exclusive license to access, process, and display your data solely for the purpose of providing the Service to you.

You may export your data at any time using the built-in export features:

• CSV export: Available on all plans
• PDF export: Available on Pro and Business plans
• API access: Available on the Business plan for programmatic data retrieval

8. Termination

Cancellation by You

You may cancel your paid subscription at any time through your account billing settings or by contacting us. Upon cancellation:

• You will retain access to your paid plan features until the end of your current billing period
• After the billing period ends, your account will be downgraded to the Free plan
• Data exceeding the Free plan's retention limits will be deleted after a 30-day grace period

Account Deletion

You may request complete deletion of your account and all associated data by contacting us at support@spaceworm.io. Account deletion is permanent and cannot be undone. We will process deletion requests within 30 days.

Termination by Us

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or if your account has been inactive for an extended period (12 months or more). We will provide reasonable notice before termination except in cases of severe violations or where required by law.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or secure. Analytics data and metrics provided by the Service are based on the data synced from your payment providers and may not be perfectly accurate. You should not rely solely on Space Worm Analytics data for critical financial decisions without independent verification.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Space Worm Analytics and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to, use of, or inability to use the Service
• Any conduct or content of any third party on the Service
• Unauthorized access, use, or alteration of your data
• Any bugs, errors, or inaccuracies in the Service

Our total aggregate liability for any claims arising from or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100 USD.

11. Indemnification

You agree to indemnify, defend, and hold harmless Space Worm Analytics and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Changes to Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice by updating the "Last updated" date at the top of this page and sending an email to the address associated with your account. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service before the changes take effect. You may cancel your subscription and delete your account at any time.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Space Worm Analytics is incorporated, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in the courts of that jurisdiction.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms will otherwise remain in full force and effect.
